1. Acceptance of terms
These Terms of Service ("Terms") form a binding agreement between you and Sonnata AI, Inc. ("Sonnata", "we", "us"). By accessing or using our website at sonnata.ai (the "Site") or any product or service we provide (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Site or the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.
2. The service
Sonnata provides a patient-resolution platform for hospital revenue cycle teams, including software, AI agents, integrations, and supporting services. We may update, modify, or improve the Service from time to time. Some changes are routine; others may meaningfully affect functionality. For hospital customers, the scope, service levels, and change-management rules are governed by your Master Services Agreement.
3. Accounts & access
You are responsible for safeguarding your credentials and for any activity under your account. You agree to provide accurate information, to keep it current, and to notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or compliance risk.
4. Acceptable use
You agree not to:
- Use the Service to violate any law or third-party right.
- Interfere with or disrupt the integrity, performance, or security of the Service.
- Attempt to gain unauthorized access to the Service or any related systems.
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except where this restriction is prohibited by law.
- Use the Service to develop a competing product.
- Send unsolicited communications, spam, or malware through the Service.
- Upload content you do not have the right to upload, or that infringes any third-party rights.
5. Customer data
As between you and us, you retain ownership of the data you submit to the Service ("Customer Data"). You grant us a non-exclusive, worldwide license to host, process, transmit, display, and otherwise use Customer Data solely to provide and improve the Service, and as permitted by your MSA and Business Associate Agreement (BAA). We do not sell Customer Data and do not use it to train generative or foundation models for use outside your tenant.
6. Fees & payment
Fees, billing cycles, and payment terms for the Service are set out in your order form or MSA. Unless otherwise stated, fees are non-refundable, exclusive of taxes, and payable in U.S. dollars. Late amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.
7. Intellectual property
The Service, including all software, models, designs, documentation, and trademarks, is owned by Sonnata and protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during the term of your subscription, subject to these Terms. All rights not expressly granted are reserved.
If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.
8. Confidentiality
Each party may have access to information of the other that is marked or reasonably understood to be confidential ("Confidential Information"). Each party agrees to: (a) use the other's Confidential Information only as necessary to exercise its rights or perform its obligations; (b) protect it with at least the same care it uses for its own confidential information, and no less than reasonable care; and (c) not disclose it except to personnel and subcontractors bound by similar obligations. These obligations do not apply to information that is publicly available through no fault of the receiving party, was independently developed, or is required to be disclosed by law.
9. Warranties & disclaimers
Sonnata warrants that it will provide the Service in a professional and workmanlike manner consistent with industry standards. Except as expressly stated in these Terms or your MSA, the Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law: (a) neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data; and (b) each party's aggregate liability arising out of or related to these Terms is limited to the fees paid or payable by you to Sonnata in the twelve months preceding the event giving rise to the claim. The foregoing limitations do not apply to: a party's breach of confidentiality, indemnification obligations, gross negligence, willful misconduct, or fraud.
11. Termination
For website use, you may stop using the Site at any time. For paid services, termination rights are set out in your MSA. We may suspend or terminate your access if you materially breach these Terms and fail to cure within 30 days of written notice, or immediately if your conduct poses a security, legal, or compliance risk. Sections that by their nature should survive termination (including those on intellectual property, confidentiality, disclaimers, limitations of liability, and governing law) will survive.
12. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms will be brought in the state or federal courts located in Wilmington, Delaware, and the parties consent to personal jurisdiction in those courts.
